Terms & Conditions
These terms govern your use of the Ravelyn website and, where applicable, the engagement of Ravelyn's strategic advisory services. Please read them carefully before using this site or making an enquiry.
1. Definitions
In these Terms & Conditions, the following terms have the meanings set out below:
- Agreement — these Terms & Conditions, together with any engagement letter or statement of work agreed between you and Ravelyn
- Ravelyn / We / Us / Our — Ravelyn, a strategic advisory firm with principal address at 142 Sathorn Road, Khwaeng Silom, Khet Bang Rak, Bangkok 10500, Thailand
- User / You / Your — any person who accesses this website or contacts Ravelyn in connection with its services
- Services — the strategic advisory engagements offered by Ravelyn, including the Strategic Direction Review, Operating Model Diagnostic, and Quarterly Advisory Retainer
- Website — the website located at ravelyn.pro and all associated pages
- Content — all text, documents, graphics, data, and other materials published on the Website
- Engagement — a specific advisory project or retainer arrangement agreed by written engagement letter between Ravelyn and a client
2. Acceptance of terms
By accessing or using this Website, or by submitting an enquiry or entering into an Engagement with Ravelyn, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.
If you are accessing the Website or engaging Ravelyn on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
Use of this Website and engagement of Ravelyn's Services is available only to individuals who are at least 18 years of age and have legal capacity to enter into binding agreements under applicable law.
3. Description of services
Ravelyn provides strategic advisory services to mid-sized businesses operating primarily in Thailand and the broader Southeast Asian region. Current service offerings include:
- Strategic Direction Review — multi-week engagement including stakeholder interviews, market scan, scenario analysis, and written deliverable
- Operating Model Diagnostic — focused engagement mapping decision flows, identifying operational friction, and recommending practical adjustments
- Quarterly Advisory Retainer — ongoing advisory relationship including scheduled calls, document review, and periodic on-site sessions
Service availability is subject to capacity. Ravelyn reserves the right to decline any enquiry or engagement request at its discretion, including where a conflict of interest exists or where the scope is outside our area of practice.
Specific terms for any Engagement, including scope, deliverables, timeline, and fees, are set out in a written engagement letter issued prior to the commencement of work.
4. User responsibilities
When using this Website or engaging with Ravelyn, you agree to:
- Provide accurate, current, and complete information when submitting enquiries or entering into engagements
- Use the Website for lawful purposes only
- Not attempt to disrupt, damage, or gain unauthorised access to the Website or its underlying systems
- Not reproduce, redistribute, or commercially exploit content from the Website without prior written consent from Ravelyn
- Maintain the confidentiality of any proprietary information or materials shared by Ravelyn in the course of an Engagement
You are responsible for ensuring that any information you provide to Ravelyn — including information about your business, stakeholders, or operating environment — does not violate the rights of any third party or applicable law.
5. Intellectual property
All content on this Website, including text, design elements, graphics, and methodologies described, is the property of Ravelyn and is protected under applicable intellectual property laws in Thailand.
Deliverables produced in the course of an Engagement (reports, frameworks, written analyses) are provided to the client under a limited, non-exclusive licence for internal use within the client's organisation. These materials may not be reproduced for commercial purposes, shared with third parties, or published without Ravelyn's prior written consent.
Ravelyn retains the right to use general knowledge, methodologies, and experience gained through engagements in future work, provided that no confidential client-specific information is disclosed.
6. Payment terms
All fees are denominated in Thai Baht (THB) unless otherwise stated in a written engagement letter. Current published fees are:
- Strategic Direction Review: ฿32,500 per engagement
- Operating Model Diagnostic: ฿18,200 per engagement
- Quarterly Advisory Retainer: ฿3,800 per month
Payment terms are specified in each engagement letter. For project-based engagements, a deposit is typically required prior to the commencement of work. For retainer arrangements, fees are invoiced monthly in advance.
In the event of scope changes agreed during an engagement, revised fees will be documented in writing before additional work is undertaken.
Cancellations: Where a client cancels a project-based engagement after work has commenced, fees will be payable for work completed up to the date of cancellation. Retainer arrangements may be terminated with 30 days' written notice; fees for the notice period remain payable.
7. Advisory engagement terms
Each advisory engagement is governed by a written engagement letter that constitutes the primary agreement between Ravelyn and the client for that project. In the event of any conflict between these Terms & Conditions and an engagement letter, the terms of the engagement letter prevail.
Ravelyn will deliver services with reasonable skill and care. Timelines set out in an engagement letter are indicative; delays caused by the client's failure to provide agreed access, information, or stakeholder availability may extend the timeline without additional fee obligation to Ravelyn.
Advisory outputs reflect Ravelyn's considered professional judgement based on information available at the time of the engagement. They represent an independent viewpoint and are not a substitute for specialist legal, financial, or regulatory advice in those fields.
8. Disclaimers
The content on this Website is provided for informational purposes only and does not constitute professional advisory, legal, financial, or investment advice. Engagement of Ravelyn's services is subject to the terms of a written engagement letter.
Ravelyn makes no representation that the Website will be continuously available, free of errors, or free from viruses or other harmful components. We reserve the right to modify or discontinue the Website at any time without notice.
Advisory recommendations are based on Ravelyn's professional judgement and the information provided by the client. Ravelyn does not warrant any particular outcome or result arising from the implementation of recommendations.
9. Limitation of liability
To the fullest extent permitted by Thai law, Ravelyn's aggregate liability in connection with any engagement or use of this Website shall not exceed the total fees paid by the client to Ravelyn in the three months preceding the event giving rise to the claim.
Ravelyn shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of business opportunity, or reputational damage, whether or not Ravelyn was advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
Force majeure: Ravelyn shall not be in breach of these terms where delay or failure is caused by circumstances beyond our reasonable control, including natural disaster, government action, public health emergency, or infrastructure failure.
10. Indemnification
You agree to indemnify and hold harmless Ravelyn, its advisors, and associated personnel from any claim, loss, damage, or expense (including reasonable legal fees) arising from:
- Your breach of these Terms & Conditions
- Your provision of inaccurate or misleading information to Ravelyn
- Your use of advisory outputs in a manner inconsistent with the engagement terms or these conditions
- Any third-party claim arising from actions you take based on Ravelyn's advisory outputs
11. Termination
Either party may terminate a project-based engagement by written notice if the other party is in material breach of the engagement terms and that breach has not been remedied within 14 days of written notice.
Ravelyn may suspend or terminate access to the Website at any time, with or without notice, where we have reasonable grounds to believe a user is in breach of these terms or applicable law.
On termination of an engagement, the provisions of these terms relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution shall survive.
12. Dispute resolution
These Terms & Conditions and any dispute arising from them are governed by the laws of the Kingdom of Thailand. The parties submit to the exclusive jurisdiction of the courts of Bangkok, Thailand.
Before commencing formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. Either party may initiate this by written notice to the other, setting out the nature of the dispute and a proposed resolution. The parties will meet (in person or remotely) within 21 days of such notice to seek an agreed outcome.
If the dispute is not resolved within 45 days of the initial written notice, either party may proceed to formal legal proceedings or agree to refer the matter to mediation under the rules of the Thailand Arbitration Center.
13. General provisions
- Entire agreement: These terms, together with any written engagement letter, constitute the entire agreement between the parties in respect of its subject matter and supersede all prior discussions or representations.
- Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: A failure by either party to exercise a right under these terms does not constitute a waiver of that right.
- Assignment: You may not assign your rights or obligations under these terms without Ravelyn's prior written consent. Ravelyn may assign its rights without restriction.
- Notices: Formal notices under these terms must be sent in writing to the addresses set out in the relevant engagement letter, or to [email protected].
14. Changes to these terms
Ravelyn may update these Terms & Conditions from time to time. The effective date shown at the top of this page reflects when the current version took effect. Material changes will be signalled by a notice on the Website.
Your continued use of the Website following any update constitutes acceptance of the revised terms. If you do not agree to revised terms, you should cease using the Website. For active engagements, changes to terms will not apply retroactively without written agreement from the client.
